Job DetailsResponsibilities
- Negotiate SaaS and AI platform agreements with clients and vendors
- Advise on IP Protection Strategies, Data Privacy and Security Protocols
- Draft and Review DPAs and various business agreements, i.e. Stock and Asset Purchase Agreements, Shareholder Agreements, Operating Agreements
- Structure and negotiate complex technology transactions autonomously in a fast-moving environment.
- Lead M&A deals and Investment Capital Raises
- Complex Terms of Service and Privacy Policies
- Oversee junior and mid-level attorneys
Qualifications
- JD from an accredited law school
- Active bar license in NY
- 10+ years of technology transactions experience, with at least 5 years in a leading, client-facing role
- 4+ years experience at a law firm required
- Demonstrated experience in software and technology services sector, AI and data privacy
- Deep understanding of IP licensing structures
- SaaS and Software licensing, cloud services agreements, API integration agreements
- Custom development contracts, open-source compliance
- E-commerce, tech consulting, tech sector, healthcare and media
